About the Role
The Company is seeking a Senior Counsel for Corporate and Securities to join its dynamic legal team. The successful candidate will be the lead counsel for a range of critical matters, including corporate securities, governance, and M&A. This role involves close collaboration with the VP & Deputy General Counsel, CLO, CFO, and various cross-functional teams. Key responsibilities include assisting with SEC filings, ensuring compliance with Regulation FD, and managing the legal aspects of investor engagement. The Senior Counsel will also be involved in preparing for Board and Committee meetings, the annual stockholder meeting, and providing legal advice on financing and M&A transactions. Applicants must have a J.D. from an accredited law school, be admitted to the California Bar or eligible for in-house registration, and have at least 8 years of experience in corporate law, with a strong background in Securities Act and Exchange Act reporting and compliance. Hands-on experience in M&A and financing transactions is preferred. The role requires the ability to communicate complex legal topics to executive leadership, strong business judgment, and exceptional attention to detail. The ideal candidate will have a proven track record of designing and implementing creative and scalable legal programs and solutions.
